Terms and Conditions

These Terms and Conditions govern your access to and use of the products and services offered by Shim Partners Management Consultancy FZCO. By accessing or purchasing any of our products or services, you agree to be bound by these Terms.

1. Products and Services

These Terms apply to all products and services provided by Shim Partners Management Consultancy FZCO, including but not limited to:

• ClarityOS — a digital leadership practice platform available at clarity-os.co
• ClarityOS Teams — a group leadership effectiveness product for organisations
• reAImagine.work — a business intelligence publication focused on AI and work
• reAImagination — a workforce intelligence platform for CHROs and executive teams
• Shim Partners Advisory — strategic advisory and consulting engagements

2. Acceptance of Terms

By accessing our websites, creating an account, or completing a purchase, you confirm that you have read, understood, and agree to these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

3. Account Registration

Certain products require account registration. You agree to provide accurate and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at hello@shimpartners.com if you suspect unauthorised access.

4. Payments and Billing

All payments for digital products and subscriptions are processed by Paddle (Paddle.com Market Limited), who acts as the Merchant of Record. When you purchase a subscription or digital product, your contract for payment is with Paddle, not directly with Shim Partners. Paddle's own Terms of Service and Privacy Policy apply to the payment transaction.

Pricing is displayed in United States Dollars (USD) unless otherwise stated. Applicable taxes, including VAT where required, are calculated and collected by Paddle at checkout.

5. Subscriptions and Renewal

Subscription products renew automatically at the end of each billing period (monthly or annual, as selected) unless cancelled before the renewal date. You may cancel your subscription at any time through your account dashboard or by contacting hello@shimpartners.com. Cancellation takes effect at the end of the current billing period; no refund is provided for the remainder of the period except as set out in our Refund Policy.

6. Intellectual Property

All content, frameworks, methodologies, written materials, software, and trademarks associated with Shim Partners and its products — including the Strata Framework, SHIM Playbook, ClarityOS Protocol, 4-B Matrix, AIfluency, and Talent Value Chain — are the exclusive intellectual property of Shim Partners Management Consultancy FZCO. Nothing in these Terms grants you any right to reproduce, distribute, modify, or create derivative works from any of our proprietary content without prior written consent.

7. Acceptable Use

You agree not to:

• Use our products for any unlawful purpose or in violation of any applicable law or regulation
• Share, resell, or sublicense access to any subscription product without written permission
• Reverse engineer, decompile, or attempt to extract source code from any software product
• Use our platforms to transmit harmful, defamatory, or fraudulent content
• Interfere with the integrity or performance of any of our services

8. Limitation of Liability

To the maximum extent permitted by applicable law, Shim Partners Management Consultancy FZCO and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, our products or services — even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

9. Disclaimer of Warranties

Our products and services are provided “as is” and “as available” without warranty of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components. Nothing in our content constitutes legal, financial, medical, or professional advice.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising from these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the Dubai Courts.

For users in the European Union: Nothing in these Terms limits your statutory rights under applicable EU consumer protection law, which Paddle is responsible for upholding as Merchant of Record.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be notified by email or via a prominent notice on our website. Your continued use of our products after the effective date of any changes constitutes acceptance of the revised Terms.
